Terms of Service

These Terms of Service are a legal agreement between you and Shaping Change. They apply to Shaping Change’s provision and your use of Shaping Change’s content platforms, sites, applications or services.
Your access to the Services is permitted by Shaping Change on the assumption that you have accepted these Terms, and in consideration for that acceptance. If you do not agree to the terms, you are not permitted to access the Services in any manner. If you do (whether you make use of them or not), you are deemed to have agreed to these Terms in their entirety. Your agreement with Shaping Change includes any specific additional terms and policies that apply to any specific Services you use. Your agreement with Shaping Change also includes the Website Terms.

  1. DEFINITIONS

    Automated Access means use of a process, script, webcrawler, software or other methodology that: (a) permits a user that is not a human user to access the Services as a user; or (b) monitors any activity in connection with the Services; and (c) regardless of whether Shaping Change is aware of the nature of such access.

    Content means any content contained in or referred to in the Services, regardless of whether the content refers to Products, and if it is introduced to the Services by you, it is your Content.

    Intellectual Property Rights means intellectual property rights conferred on a party or recognised at Law in any territory throughout the world including any rights associated with copyright, trademark, business name, patent, innovation concept, semiconductor, formula, trade secret, method, circuit layout, invention and any other results of intellectual activity in any field of industry or endeavour and includes any right to use an Intellectual Property Right owned by a third party where the terms of that right of use or licence permit a use of that Intellectual Property Right as contemplated under this document or the Website Terms.

    Law means, with reference to any applicable jurisdiction, any statute, regulation, bylaw or a provision of a statute, regulation, or bylaw and includes, without limitation, any statutory rule, or ruling by a statutory body.

    Losses means all losses, costs, damages, expenses, penalties, third party claims and other liabilities arising out of or in connection with a circumstance and including all legal and other professional expenses on a solicitor-client basis incurred in connection with investigating, disputing, defending or settling any claim, action, demand or proceeding relating to that circumstance including all foreseeable and consequential loss.

    Material means content stored by you or any User with use of the Services.

    Owner means the owner or licensor of Intellectual Property Rights in connection with any Content, Products, Content or Material that is stored or shared using the Services.

    Products means any product or service that is referred to or itemised in the Services, regardless of who owns, sells, produces or promotes that product or service.

    Services means the online, web-based applications, platforms or websites provided by Shaping Change from time to time via [#Insert full details of Shaping Change’s higher category user application or platform here#], other designated platforms or websites that

    are described to you from time to time, any services that are arranged by you direct with Shaping Change and any associated offline components, but excluding: (a) Third Party Services; and (b) components that are open source software components that are freely available to the public under licence terms that are different to the licence terms in this document.

    Shaping Change, us, we and similar grammatical variants of plural first person pronouns in this document mean the business entity trading under the registered business name ‘Shaping Change’, 2156 Huon Road, Lower Longley, TAS 7109,

    Terms means this document.

    Third Party Services means online, web-based applications and offline software products that are: (a) provided by third parties; (b) interoperate with the Services; and (c) may be either separate or con-joined with the Services, whether or not they are identified to you by Shaping Change as applications that are provided by third parties.

    Users means any users of the Services other than you.

    Website Terms means any agreement relating to access between you and Shaping Change that set out the terms for your access to Shaping Change’s websites and any other web- based applications.

    you means any party who accesses the Services, regardless of the nature of that access or if that party is or is not indentified to Shaping Change.

    your User Account means your online account provided by Shaping Change for your operation and enjoyment of your own personalised experience of the Services that is accessed using your personal preferences and containing personal information provided by you.

  2. HOW TO READ THESE TERMS

    1. References – People and Parties. In this document a reference to: (a) one gender includes the others; (b) the singular includes the plural and the plural includes the singular; (c) a person includes a body corporate; and (d) a party includes the party’s executors, administrators, successors and permitted assigns.

    2. References – Statutes and currency. In this document a reference to a Law includes: (a) that Law as amended or re-enacted from time to time; (b) a statute, regulation or provision enacted in replacement of that Law; and (c) another regulation or other statutory instrument made or issued under that Law. A reference to money is to Australian dollars, unless otherwise stated.

    3. Interpretation – General. In this document: (a) “including” and similar expressions are not words of limitation; (b) a reference to a clause or schedule is a reference to a clause of or a schedule to the Terms; (c) a reference to an agreement or document (including, without limitation, a reference to the Terms) is to the agreement or document as amended, novated or replaced; (d) where a word or expression is given a particular meaning, other parts of speech and grammatical forms of that word or expression have a corresponding meaning; (e) headings are for convenience only and do not form part of this document or affect its interpretation; (f) a provision of the Terms must not be construed to the disadvantage of a party merely because that

      party was responsible for the preparation of the Terms; and (g) all references to time are to Australian time.

    4. Interpretation – Priority. If there is any inconsistency between any provision in the Website Terms and any provision in this document, these Terms will prevail to the extent of that inconsistency.

  3. THE SERVICES

    1. Use of Trade Marks and Material. While the Services are dedicated to the appreciation of Material, Content and Products, you acknowledge that Shaping Change may not be affiliated with the owners or licensors of: (a) the trade marks associated with the Products; (b) the Content; and (c) any Material. You also acknowledge that if you refer to Products, Material or Content in connection with the Services, those references must be in accordance with the relevant Owner’s directions (if any) that are issued by the Owner from time to time. In addition, you acknowledge that unless Shaping Change has explicitly agreed to the contrary under these Terms or under separate licence terms, Shaping Change does not warrant or represent that your use of the Material will not infringe the Intellectual Property Rights of third parties.

    2. Use. You accept the following terms in respect of your use of the Services:

      1. After you have created an account with Shaping Change, you may use the Services to search, create, edit, display, follow and view the Products and Material made available to you through the Services.

      2. You may also interact with Users in accordance with: (a) these Terms; and (b) any of Shaping Change’s policies that relate to that interaction.

      3. In some instances, you will be permitted to upload Material using the Services and a compatible device.

      4. Where you utilise images and material from Third Party Service in connection with the Services, you do so at your own risk.

      5. Shaping Change has the right to make any changes to the Services at any time including any action to modify, amend, suspend or discontinue all of or any part of the Services within Shaping Change’s discretion and without notice.

      6. You are solely responsible for any liability imposed in respect of your Content and in respect of your interaction with other Users.

      7. You acknowledge that your User Account is not a secure data storage facility for primary information that you may wish to retain. Shaping Change reserves the right to delete Content stored using the Services at any time without notice, and this may directly affect your Content.

  4. YOUR USER ACCOUNT WITH SHAPING CHANGE

    1. Your Responsibilities. You must operate your User Account in accordance with Shaping Change’s directions and in particular, you agree to the following:

      1. You have permission to use and operate your User Account, but the extent of that use and operation is at Shaping Change’s sole discretion. Shaping Change may maintain your User Account differently to the accounts of other

        Users, but Shaping Change must always ensure that it acts reasonably concerning your User Account.

      2. Your User Account must only be operated by you on your own behalf. You must not operate your User Account on behalf of anyone else, including but not limited to an organisation that is not a natural person (Organisation). However, if Shaping Change permits you to open a User Account on behalf of an Organisation, then: (a) the word “you” in these Terms includes both you and the Organisation; and (b) you represent that you are authorised to represent the Organisation and that you have the authority to bind the Organisation to the Terms.

      3. If you connect the Services with a Third Party Service with which you have a user account, you authorise Shaping Change to use information about you available from the Third Party Service and to store your user login information for that Third Party Service. Shaping Change must not intentionally disclose that information to any other party unless Shaping Change is required to do so by a Law. You can read more about what Shaping Change may do with your information in the part of these Terms headed “Privacy Policy”.

      4. You take full responsibility for everything done through your User Account and in particular: (a) you agree not to share the login credentials for your User Account with any other person, or permit any automated use of your User Account without Shaping Change’s consent; (b) you agree to use a password for your User Account that is not easily guessable and likely to remain secure (incorporating upper and lower case letters, numbers and symbols); and (c) you agree to notify Shaping Change straight away if you suspect another party has access to your login credentials or if you suspect that another party is conducting activity through your User Account.

      5. You must only give Shaping Change accurate and complete information about you when you create your User Account. If your details are changed after creating your User Account, you must update the relevant information.

      6. You agree that Shaping Change may send you email or other electronic messages concerning your User Account, Shaping Change and its commercial partners from time to time. You will have the right to opt out of some of the information sent.

  5. CONTENT

    1. Your Responsibility for Content. You are responsible for any Content you introduce to the Services. You should be careful about what Content you choose to introduce, because you may not be able to delete Content after you have introduced it. You acknowledge that introducing Content on the Services does not constitute an act of registering that Content for copyright in any jurisdiction. You should ensure that Content you introduce does not enable other Users to locate or identify you.

      You are also responsible for ensuring that the Content you introduce does not breach

      the Intellectual Property Rights of any third party.

    2. Prohibited Content. As a general principle, Shaping Change supports freedom of expression. You acknowledge that Shaping Change considers freedom of expression as a balancing exercise and as a result, Shaping Change reserves its discretion to prohibit certain types of Content. You agree that you will not introduce Content that: (a) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (b) is violent or threatening or promotes self- harm; (c) promotes harmful activities or substances in breach of any Law; (d)

      infringes a third party’s intellectual property rights, or violates a third party’s rights of publicity or privacy; (e) breaches any Law or would result in civil liability; (f) is fraudulent, false, misleading or deceptive; (g) is racist, defamatory, pornographic, offensive or vulgar; or (h) is intended in any way to cause harm or an unacceptable level of detriment to another User.

    3. Shaping Change’s Rights in respect of Content. You accept that there are some limited rights that Shaping Change and other Users will have concerning your Content. These are not ownership rights, but they constitute usage rights and may affect what Content you decide to introduce. You acknowledge the following:

      1. Shaping Change reserves the right to shift, categorise, delete or amend any Content as Shaping Change sees fit. However, this does not constitute a legal obligation from Shaping Change to any person to take any action whatsoever in respect of Content.

      2. If you own intellectual property rights in the Content you introduce that is not your personal, confidential information (Your Owned Content) to the Services and that Content is designated accessible to Users, then you grant Shaping Change an irrevocable, perpetual and worldwide licence (that is capable of sublicence) to use Your Owned Content solely for the purpose of promoting the Services in Shaping Change’s discretion (the Content Licence).

      3. The Content Licence does not permit us to generate direct commercial returns or income from Your Owned Content either by way of licence or sale. However, you accept and acknowledge that Shaping Change may possibly generate indirect income or commercial benefits for Shaping Change by using Your Owned Content to promote the Services to Users or to other members of the public. Nothing in this clause will prevent you and Shaping Change from entering into a separate licence or contractual relationship under which either or both parties obtain direct commercial benefits through the sale or licensing of your Owned Content.

      4. Any Content (whether it is Your Owned Content or not) that you make available through the Services may be publicly available for other Users to view, and in some cases, re-post, share or modify.

      5. If you give us any feedback concerning the Services, you grant Shaping Change a worldwide, exclusive, royalty-free licence to use any aspect of that feedback (including any information or consequence that follows from or is derived by Shaping Change from that feedback) in any manner that Shaping Change considers appropriate.

  6. PROHIBITED ACTIONS

    1. What’s not permitted? Shaping Change may suspend, ban or delete your User Account if:

      1. You lie or mislead Shaping Change (and, in some circumstances, other Users) about your details, your Content, or any other User’s Content (including, but not limited to instances where you present a gloss on Content that is misleading, such as writing a false or misleading review).

      2. You introduce Content that is introduced in breach of the Intellectual Property Rights of a third party. This includes any act of plagiarism or of divulging confidential information that you were obligated to protect.

      3. You commence the process of opening a new account after Shaping Change has banned you from the Services or otherwise restricted or terminated your User Account.

      4. You switch your User Account to another user.

      5. You act in a manner that results in detriment to Shaping Change, other Users, or if you act in a manner that Shaping Change considers to be unacceptable in view of generally accepted online etiquette or behavioural standards and policies.

      6. You are involved in any activity that constitutes scraping or replicating Content from the Services for the benefit of other platforms, engines or applications not connected to or approved by Shaping Change, unless the purpose of that activity is for the purposes of assisting search engines or platforms containing public web navigation indexes.

      7. You attempt to hack into or cause damage to any facet of the Services, or you attempt to access information held by Shaping Change that Shaping Change does not intend to divulge to you.

      8. You attempt to sabotage the operation of the Services by overloading them with data.

      9. You attempt to compile, decompile, disassemble, replicate, licence or distribute any aspect of the Services in a manner not expressly approved by Shaping Change.

      10. You don’t comply with something that Shaping Change requires you to do, including but not limited to payment of amounts due to Shaping Change under our services arrangements.

  7. TERMINATION

    1. Licensor’s Termination Rights. Shaping Change can terminate these Terms at any time or for any reason, and prevent you from accessing the Services. Shaping Change may retain your user information, Content you have introduced, or other information personal to you for the purposes of maintaining data integrity and retrieval. Other Users may also continue to interact with your Content. If the Terms are terminated by Shaping Change, all of your obligations in these Terms that are intended to continue remain binding on you.

    2. Your Termination Rights. You can terminate these Terms at any time for any reason. If you do so, you must notify Shaping Change first, then cease to use the Services in any way. If you resume use of the Services at any stage after you have notified Shaping Change of your termination, you indicate that you have re-accepted these Terms, and they will bind you and Shaping Change accordingly.

  8. PRIVACY

    1. Privacy Policy. Shaping Change is committed to ensuring that you can enjoy the Services while safeguarding your private information. You must review Shaping Change’s privacy policy (attached to these Terms and headed “Privacy Policy”) to ensure you know how you can make the best use of the Services without compromising your privacy.

  9. LIABILITY AND INDEMNITY

    1. Liability. Subject to any Law applying to the Terms that expressly prevents application of this provision, notwithstanding any other provision of these Terms, the liability of Shaping Change, if any, for anything arising out of or in connection with the supply of the Services (other than any liability incurred as a result of Shaping Change’s obligation to meet a statutory guarantee or warranty imposed by a Law), where the Services are not of a kind ordinarily acquired for personal, domestic or household use or consumption, is limited at Shaping Change’s option to: (a) Shaping Change’s costs incurred in actually supplying the Services again; or (b) the monetary amount equivalent to Shaping Change’s cost in supplying the Services to you again. In some jurisdictions this type of limitation is not permitted, so this provision may not apply to you.

    2. Indemnity. You indemnify Shaping Change in respect of all Losses that Shaping Change incurs as a result of your breach of these Terms.

    3. Services not error-free. You acknowledge that the Services are being improved on a consistent basis, and as such are not error-free.

    4. Payment Terms. All payments to Shaping Change are due no later than 14 days from the date of each invoice rendered to you by Shaping Change. Your failure to pay any amount or part amount on the due date will constitute a breach of these Terms. Any overdue amounts will incur interest at the rate of interest applied to business overdraft facilities at Shaping Change’s bank plus a further 4%.

    5. Refunds. Subject to applicable laws, Shaping Change is not obliged to consider providing you with a refund of any kind. However, Shaping Change may elect in its sole discretion to consider any requests for refunds, and will act in accordance with that discretion.

  10. GENERAL

    1. Amendments to Terms. Shaping Change reserves the right to amend these Terms and its policies whenever Shaping Change considers it necessary to do so within Shaping Change’s reasonable discretion. However, if Shaping Change does so, Shaping Change will notify you using the contact details set out in your User Account. If you wish to modify these Terms, you must obtain Shaping Change’s agreement to vary the Terms in writing.

    2. Incorporation of Policies. In accepting these Terms, you also agree: (a) to comply with all of Shaping Change’s policies concerning the Services that are made available for all Users via the Services from time to time; and (b) that a breach of these policies by you constitutes a breach of these Terms.

    3. Taxes. If you have a paid subscription for any part of the Services, the price of the subscription does not include any taxes that Shaping Change may charge in accordance with the tax laws of the relevant jurisdiction.

    4. Assignment. You cannot assign your rights or obligations under these Terms without Shaping Change’s prior written consent. Shaping Change can novate or assign its rights or obligations under these Terms without restriction.

    5. Automated Access. All Automated Access is also subject to these Terms. No

      automated software may access the site until the person responsible for the Automated Access has accepted these Terms. As such, any attempt to obtain Automated Access will be bound by these Terms.

    6. Severability. If anything in these Terms is unenforceable, illegal or void then it is severed and the rest of these Terms remain in force, unless the severance would change the underlying principal commercial purpose or effect of these Terms.

    7. Relationship of the Parties. You and Shaping Change are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship.

    8. Third-Party Beneficiaries. You acknowledge that there may be third-party beneficiaries to these Terms in circumstances where Shaping Change is bound to enforce them in favour of its own licensors, Users or other parties contracting with Shaping Change.

    9. Waiver and Cumulative Remedies. No failure or delay by either party in exercising any right under the Terms will constitute a waiver of that right. Other than as expressly stated in the Terms, the remedies provided in the Terms are in addition to, and not exclusive of, any other remedies of a party under Laws.

    10. Governing Law and Disputes. The Terms are governed by the Laws of the Commonwealth of Australia and disputes must be resolved in the non-exclusive courts of that jurisdiction. You agree that you will not be involved in an action as a class member in a class action and that all disputes must be pursued in your own name only. You and Shaping Change each waive respective rights to seek or be involved in any class action under these Terms or concerning any aspect of the Services.

    11. Entire Agreement. The Terms, the Website Terms and Shaping Change’s policies concerning the Services, together with any of the other documents specifically referred to or incorporated in these Terms by specific reference constitute the entire agreement between the parties and supersede all prior understandings and agreements concerning its subject matter. If the Terms, the Website Terms or Shaping Change’s policies are amended by Shaping Change, the newer version of those documents will then supersede the prior version.

PRIVACY POLICY

Rosalind Cardinal (Shaping Change) provides users with: (a) the https://www.shapingchange.net.au] website (Site); (b) any applications Shaping Change makes available for use on any device or technology platform (Applications); and (c) any of Shaping Change’s services made available on the Site or via the Applications (Services). The Site, Applications and Services are all facilities (Facilities) developed by us and designed to assist the user’s experience.

The central goal driving the design of the Facilities is to optimize user experience while using them. To make that work effectively, Shaping Change needs to collect personal information from each user, and process that personal information. Shaping Change uses common technologies such as cookies and Web beacons to keep track of users’ interactions with the Site, Application and Services and to improve the quality of its service. Shaping Change may also collect your Internet Protocol (IP) address to track and aggregate non-personally identifiable information, your referring website addresses, browser type, domain name and access times.

Unless connected directly to a user account, the information Shaping Change processes in connection with each IP address is largely statistical and is not stored to or referred to by Shaping Change in a way that permits us to piece together any particular user’s browsing behavior.

The purpose of this Privacy Policy is to inform you about how Shaping Change’s technology (Technology) processes information about you. This Privacy Policy applies to all of the Facilities operated by Shaping Change or its subsidiaries or affiliated companies. From time to time Shaping Change may also post product or service specific privacy notices or documentation to explain in more detail how Shaping Change’s products handle information related to privacy.

Participants in the technology industry have developed some practical guidelines to help you guard against Internet fraud, secure your computer and protect your personal information. Shaping Change supports your use and implementation of these guidelines.

How Your Information is used by us

  • Information you provide – When you sign up for a service operated by Shaping Change, you may be required to provide personal information. Shaping Change may combine the information you submit under your account with information from your activity on the Facilities in order to provide you with a better experience and to improve the quality of Shaping Change’s Facilities. For certain services, Shaping Change may give you the opportunity to opt out of combining such information. You can use the personalization features in your user account to learn more about the information associated with your Account.

  • Cookies – When you visit the Facilities, Shaping Change sends one or more cookies to your computer or device. Shaping Change uses cookies to improve the quality of Shaping Change’s service, including for storing user preferences, improving search results, improving features of the Facilities and tracking user trends.

  • Log information – When you access the Facilities, Shaping Change’s servers automatically record certain information. These server logs may include information such as your web request, your interaction with a service, IP address, browser type, browser language, the date and time of your request and one or more cookies that may uniquely identify your browser or your account.

  • Communications – When you send email or other communications to Shaping Change, Shaping Change may retain those communications in order to process your inquiries, respond to your requests and improve Shaping Change’s services. When you send and receive SMS messages to or from one of Shaping Change’s services that provides SMS functionality, Shaping Change may collect and maintain information associated with those messages, such as the phone number, the wireless carrier associated with the phone number, the content of the message, and the date and time of the transaction. Shaping Change may use your email address to communicate with you about Shaping Change’s services.

  • Third Party Applications – Shaping Change may make available third party applications, such as gadgets or extensions, through the Facilities. The information collected by Shaping Change when you enable a third party application is processed under this Privacy Policy. Information collected by the third party application provider is governed by their own privacy policies.

  • Other sites – This Privacy Policy applies to the Facilities only. Shaping Change does not exercise control over the sites displayed as search results, sites that include Shaping Change applications, products or services, or links from within Shaping Change’s various Facilities. These other sites may place their own cookies or other files on your computer, collect data or solicit personal information from you.

    In addition to the above, Shaping Change may use the information Shaping Change collects to:

  • Provide, maintain, protect, and improve the Facilities, Shaping Change’s services (including advertising services) and develop new services; and

  • Protect the rights or property of Shaping Change or its users.

    If Shaping Change uses this information in a manner different than the purpose for which it was collected, then Shaping Change will ask for your consent prior to such use.

    Shaping Change processes personal information on its servers in Australia, and you consent to your personal information being processed and in that location.

    Your Choice to Opt Out

    If you'd like to opt-out from having Shaping Change collect your information in connection with Shaping Change’s Technology, please let Shaping Change know by contacting us using the details described above. When you opt out, Shaping Change will place an opt-out cookie on your computer. The opt-out cookie tells Shaping Change not to collect your information, or enable other personalized services in connection with the Facilities. Please note that if you delete, block or otherwise restrict cookies, or if you use a different computer or Internet browser, you may need to renew your opt-out choice.

    Most browsers are initially set up to accept cookies, but you can reset your browser to refuse all cookies or to indicate when a cookie is being sent. However, some of Shaping Change’s features and services may not function properly if your cookies are disabled.

    Information sharing and onward transfer

    Shaping Change only shares personal information with other companies or individuals in the following limited circumstances:

  • When Shaping Change has your consent. Shaping Change will usually require opt-in consent for the sharing of any sensitive personal information.

  • When Shaping Change provides such information to Shaping Change’s subsidiaries, affiliated companies or other trusted businesses or persons for the purpose of processing personal information on Shaping Change’s behalf. Shaping Change require that these parties agree to process such information based on Shaping Change’s instructions and in compliance with this Privacy Policy and any other appropriate confidentiality and security measures.

  • When Shaping Change has a good faith belief that access, use, preservation or disclosure of such information is reasonably necessary to: (a) satisfy any applicable law, regulation, legal process or enforceable governmental request; (b) enforce Shaping Change’s Terms of Service, including investigation of potential violations of those Terms;

(c) detect, prevent, or otherwise address fraud, security or technical issues; or (d) protect

against harm to the rights, property or safety of Shaping Change, its users or the public as required or permitted by law.

If Shaping Change becomes involved in a merger, acquisition, or any form of sale of some or all of its assets, Shaping Change will use Shaping Change’s best endeavors to: (a) ensure the confidentiality of any personal information involved in such transactions; and (b) provide notice before your personal information is transferred and becomes subject to a different privacy policy.

Information security

Shaping Change take appropriate security measures to protect against unauthorized access to or unauthorized alteration, disclosure or destruction of data. These include internal reviews of Shaping Change’s data collection, storage and processing practices and security measures, including appropriate encryption and physical security measures to guard against unauthorized access to systems where Shaping Change stores personal data.

Shaping Change restrict access to personal information to Shaping Change’s employees, contractors and agents who need to know that information in order to process it on Shaping Change’s behalf. These individuals are bound by confidentiality obligations and may be subject to discipline, including termination and criminal prosecution, if they fail to meet these obligations.

Accessing and updating personal information

When you use the Facilities, Shaping Change makes good faith efforts to provide you with access to your personal information and either to correct this data if it is inaccurate or to delete such data at your request if it is not otherwise required to be retained by law or for legitimate business purposes.
